Terms of Service

These Terms of Service (the "Terms") govern your use of PatrolKit (the "service"). PatrolKit is operated by ovrEngineered LLC and its permitted successors and assigns, referred to in these Terms as "we" and "us". By signing in to or using PatrolKit, you agree to these Terms. If you do not agree, do not use the service.

PatrolKit is administrative software, not an emergency system. It is not a dispatch, alerting, or medical records system, and it must never be relied on to summon help or to coordinate an active incident. Always use your patrol's radios, dispatch, and emergency procedures for anything time-critical or safety-critical.

1. What PatrolKit is

PatrolKit gives ski patrol organizations tools for duty scheduling, time tracking, membership rosters, ski swap management, and patrol-wide communication. We provide the software; your patrol organization decides how it is used, who may join, and what each member is permitted to see and do.

2. Eligibility and your account

You must be at least 13 years old to use PatrolKit, and old enough to form a binding contract in your jurisdiction.
Access to an organization's data requires a membership granted by that organization's administrators. We do not decide who belongs to your patrol.
PatrolKit does not use passwords. You sign in with a one-time code sent to a verified email address or mobile phone number. Your email inbox and your phone are your credentials — keep them secure, and do not let anyone else use them to sign in as you.
Keep your contact details accurate. If you lose access to a verified email address or phone number, tell your organization's administrator so it can be updated.
You are responsible for activity that occurs under your account.

3. Your organization's role

Your patrol organization controls its own PatrolKit data — rosters, hours, swap records, and settings — and its administrators can view, edit, correct, and delete that data. We act on your organization's instructions with respect to its data.

Disputes about your membership, your recorded hours, your pay, or your standing in the patrol are between you and your organization. We are not the arbiter of those matters, and we do not adjudicate them.

4. Acceptable use

You agree not to:

Access data belonging to another member or another organization without authorization, or attempt to defeat PatrolKit's permission controls.
Attempt to sign in as someone else, or share one-time codes with anyone.
Probe, scan, overload, or disrupt the service or its infrastructure.
Upload content that is unlawful, infringing, harassing, or that you do not have the right to share.
Use PatrolKit to send unsolicited bulk messages.
Misrepresent your identity, certification level, or National Ski Patrol ID.
Use the service in violation of any applicable law.

We may suspend or terminate access that we reasonably believe violates these Terms or puts the service or its users at risk.

5. Ski swaps, sales, and payouts

We are not a party to any ski swap transaction. Your organization runs the swap; sellers list their own items; buyers buy from the organization's sale. PatrolKit provides the software that tracks it.

Listings. If you list an item, you represent that you own it or are authorized to sell it, and that your description, condition, and pricing are accurate.
Sales. Checkout is processed by Square where your organization has enabled it. Square's own terms govern that payment. We do not hold funds and do not act as an escrow.
Payouts. Your organization determines what proceeds are owed and when they are paid, subject to the swap's own rules and any commission it charges. Payouts by PayPal or Venmo are made through PayPal; check and donation options are handled by your organization directly. You are responsible for supplying an accurate payout destination — funds sent to a handle you entered incorrectly may not be recoverable.
Item condition and safety. We make no representation about the condition, authenticity, fitness, or safety of any item sold through a swap. Inspect equipment before you use it, and have bindings professionally checked.
Taxes. You are responsible for any taxes arising from your sales.

6. Content you submit

You keep ownership of the content you put into PatrolKit — item descriptions, photos, notes, and the like. You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display that content for the purpose of operating and improving the service for you and your organization. This license ends when the content is deleted, except for copies retained in routine backups.

You represent that you have the rights necessary to grant that license, and that your content does not infringe anyone else's rights.

7. Messages we send

Using PatrolKit means receiving transactional messages from us — sign-in codes, verification codes, and notices about your account or your swap items — by email or SMS. These are necessary to operate the service and cannot be fully disabled while your account is active, though you may reply STOP to any text message to stop SMS specifically and use email instead. 8. Third-party services

PatrolKit relies on Amazon Web Services, Square, and PayPal to operate. Your use of features built on those services is also subject to their terms, and we are not responsible for their acts, omissions, or outages.

9. Source code

Portions of PatrolKit's source code are published publicly. These Terms govern your use of the hosted service at patrolkit.io — they do not grant you any license to the source code, and any published code is governed by whatever license accompanies it in its repository.

10. Availability and changes

We aim to keep PatrolKit available and correct, but we do not promise any particular uptime. We may add, change, suspend, or discontinue features at any time. We may perform maintenance that makes the service temporarily unavailable, and we will try to schedule it outside peak patrol hours where practical.

11. Disclaimer of warranties

PATROLKIT IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY RECORD IT STORES WILL BE FREE OF ERROR.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER WE NOR OUR OWNERS, MEMBERS, OFFICERS, EMPLOYEES, OR CONTRACTORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF PATROLKIT, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU OR YOUR ORGANIZATION PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. Where that is the case, the above exclusions and limitations apply only to the extent permitted.

13. Indemnification

You agree to indemnify and hold us, and our owners, members, officers, employees, and contractors, harmless from any claim, loss, or expense (including reasonable attorneys' fees) arising out of your content, your sales through a ski swap, your violation of these Terms, or your violation of any law or third-party right.

14. Termination

You may stop using PatrolKit at any time; ask your organization's administrator to remove your membership. Your organization may remove your access at its discretion. We may suspend or terminate access for violations of these Terms, or if we discontinue the service. Sections that by their nature should survive termination — including content license terms for already-shared content, disclaimers, liability limits, indemnification, and governing law — will survive.

15. Changes to these Terms

We may revise these Terms from time to time. When we do, we will update the "Last updated" date above, and material changes will be communicated to organization administrators. Continuing to use PatrolKit after a change takes effect means you accept the revised Terms.

16. Governing law

These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-laws rules. You and we agree that the state and federal courts located in Ohio have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the service, and you consent to venue there.

17. General

These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding PatrolKit. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms. We may assign them, in whole or in part, to an affiliate or to a successor entity in connection with a corporate reorganization, merger, acquisition, or sale of assets, and these Terms will bind and benefit that successor.
